Fanlendar — Terms of Use
Version 1.2 Effective date: 14 October 2026 for new users and for every order placed from that date. If you accepted an earlier version, this version applies to you 30 days after we notify you, or earlier if you accept it. Operator: Sky Infinity Limited, which operates Fanlendar (Business Registration number 71972359), Unit 1403, 20 Connaught Road West, Sheung Wan, Hong Kong ("Fanlendar", "we", "us")
1. Who we are and what these Terms cover
1.1 Fanlendar operates a website at fanlendar.com (the "Platform") which (a) publishes a public directory of fan-community events, and (b) provides software tools enabling event organisers to publish listings, manage members, and sell tickets and merchandise to their own communities.
1.2 These Terms of Use ("Terms") form a binding agreement between you and Fanlendar. By accessing the Platform, creating an account, or selecting "Continue to payment" at checkout, you accept these Terms.
1.3 Additional terms apply to specific roles:
| Role | Definition | Sections that apply |
|---|---|---|
| Visitor | Any person browsing the Platform | Sections 1–5, 9–14 |
| Member | A registered account holder | Sections 1–6, 8–14 |
| Buyer | Anyone who places an order, with or without an account | Sections 1–2, 5–6, 8–14 |
| Organiser | A person or group operating a Club and selling through the Platform | All sections |
If more than one role applies to you, all the relevant sections apply.
1.4 If you do not accept these Terms, do not use the Platform.
2. Eligibility and age
2.1 Minimum age. You must be at least 13 years old to create a Member account.
2.2 Under 18. If you are under 18, you may use the Platform and make purchases only with the knowledge and consent of a parent or legal guardian. By selecting "Continue to payment" you confirm that you are 18 or over, or that you have that consent. We may require confirmation of parental consent and may suspend an account where we have reasonable grounds to believe consent has not been given. If you are under 13, a parent or guardian must place the order for you.
2.3 Organisers must be 18 or over. You must be at least 18 years old to operate a Club or sell through the Platform. This is a strict requirement, reflecting both these Terms and the onboarding requirements of our payment provider.
2.4 Allocation of risk. As set out in Section 6, each sale is a contract between the Buyer and the Organiser. Where a purchase is avoided, repudiated, or reversed on grounds of the Buyer's minority, that is a matter between the Buyer and the Organiser. Fanlendar is not a party to it and bears no liability for it.
2.5 We do not knowingly collect personal data from children under 13. If you believe a child under 13 has provided us with personal data, contact [email protected] and we will delete it.
3. Accounts
3.1 You must provide accurate information when registering and keep it current.
3.2 You are responsible for activity under your account. Notify us promptly at [email protected] of any unauthorised use.
3.3 One person, one account. You may not create an account on behalf of another person without authority, nor create accounts by automated means.
3.4 We may suspend or terminate an account which we reasonably believe: breaches these Terms; is used for fraudulent, deceptive, or unlawful activity; or creates risk or legal exposure for us or for other users.
4. The Directory, and listings we publish ourselves
4.1 The Platform includes a public directory of fan-community events (the "Directory").
4.2 Unclaimed Listings. Some Directory entries are compiled by Fanlendar from publicly available sources and are published without the involvement of the organiser of the event. These are conspicuously marked "Unclaimed".
4.3 In respect of Unclaimed Listings:
(a) They contain factual information only — event name, date, time, venue, artist or subject, publicly stated prices, and a link to the organiser's own public page.
(b) They do not reproduce images, artwork, or descriptive text from any third-party source.
(c) They do not indicate any relationship, affiliation, endorsement, sponsorship, or approval between Fanlendar and the organiser concerned.
(d) No goods or tickets may be purchased through an Unclaimed Listing. Any transaction takes place entirely outside the Platform, and Fanlendar has no involvement in and no responsibility for it.
(e) They are provided for information only. We do not verify their accuracy and make no representation that they are accurate, complete, or current.
4.4 Claim and removal. If you are the organiser of an event appearing as an Unclaimed Listing, you may at any time:
(a) Claim the listing, on verification of your identity, and thereafter control its content; or
(b) Request its removal, by contacting [email protected]. We will remove it within 2 Hong Kong business days of a request. We will not ask for reasons and will not seek to dissuade you.
4.5 Corrections. Any person may report an inaccuracy in a Directory entry to [email protected]. We will investigate and correct or remove the entry within a reasonable time.
4.6 Rights complaints. If you believe a Directory entry infringes your copyright, trade mark, or other rights, or contains your personal data unlawfully, report it using the "Report this listing" link on the listing, or by email to [email protected]. We review reports within 2 Hong Kong business days.
5. Acceptable use
5.1 You must not:
(a) use the Platform for any unlawful purpose, or to facilitate fraud, deception, or misrepresentation;
(b) list, sell, or purchase goods or services which are unlawful, counterfeit, stolen, or which infringe the rights of any person;
(c) impersonate any person, or misrepresent your affiliation with any artist, agency, brand, or organisation;
(d) resell tickets or goods in breach of the Organiser's stated terms or of applicable law;
(e) scrape, crawl, harvest, or extract data from the Platform by automated means, except by a search engine crawler obeying our robots.txt;
(f) circumvent, disable, or interfere with any security, rate-limiting, or authentication feature;
(g) upload malicious code, or attempt to gain unauthorised access to any part of the Platform or its infrastructure;
(h) post content which is defamatory, harassing, threatening, obscene, or which discloses another person's personal data without consent (which may constitute an offence under section 64 of the Personal Data (Privacy) Ordinance).
5.2 We may remove content and suspend accounts for breach of this Section without prior notice where the breach is serious or ongoing.
6. Purchases — who you are contracting with
6.1 The Organiser is the seller. Every ticket, item of merchandise, and other product offered through the Platform is sold by the Organiser. When you make a purchase, you enter into a contract of sale with that Organiser, not with Fanlendar. Fanlendar is not a party to the sale. You do not need a Fanlendar account to buy.
6.2 Fanlendar is a software provider. We provide the Organiser with software to publish listings, take orders, and communicate with buyers. We are not the seller, agent, distributor, reseller, or merchant of record for any transaction, and we do not take title to any goods.
6.3 Payments. Payments are processed by Stripe and are received directly into the Organiser's own Stripe account. Fanlendar does not receive, hold, control, or have any entitlement to your payment. Any fee we charge the Organiser for our software (Section 7.3) is a matter between us and the Organiser.
6.4 The Organiser is responsible for: the accuracy of listings; the existence, quality, safety, and legality of goods and services; fulfilment and delivery; the conduct of the event; issuing receipts; refunds, cancellations, and returns; and compliance with all applicable law, including the Trade Descriptions Ordinance (Cap. 362) and the Sale of Goods Ordinance (Cap. 26).
6.5 Refunds and cancellations are governed by the Organiser's stated policy, which is displayed before purchase, and by the law. Refund requests must be made to the Organiser. Where a refund is agreed, it is made from the Organiser's Stripe account. If the Organiser cannot fulfil an order — for example because the item sold out at the same moment as your payment — the Organiser must refund it in full, promptly, whatever its refund policy says.
6.6 Our liability for transactions. Subject to Section 11 and to any liability which cannot lawfully be excluded, Fanlendar is not liable for any act or omission of an Organiser, including non-delivery, cancellation, misdescription, or failure to refund. Your remedy in respect of a transaction lies against the Organiser. Section 8 sets out what we will do to assist.
6.7 Fees to Buyers. Fanlendar charges Buyers no fee.
7. Additional terms for Organisers
7.1 Your status. You sell in your own name and on your own account. You are the merchant of record and the seller for all purposes. You are responsible for determining and discharging your own tax obligations, including profits tax where applicable.
7.2 Payment account. You must maintain a Stripe account in good standing and satisfy Stripe's onboarding, identity verification, and ongoing requirements. Your use of Stripe is governed by Stripe's own terms, to which you are a direct party. We are not responsible for Stripe's decisions, including any decision to restrict, suspend, or close your account or withhold funds. By connecting your Stripe account, you authorise us to create checkout sessions on it and to read payment, refund and dispute information from it, including Buyers' email addresses, only to run checkout, send order emails for you, and show order records to you and to us. We do not move money out of your account.
7.3 Fees. Fanlendar is free to use during the trial. We will give at least 30 days' notice before introducing any fee.
7.4 Your obligations. You must:
(a) describe goods, services, and events accurately and not mislead buyers as to price, availability, quantity, or content;
(b) publish a clear refund and cancellation policy before taking orders, and honour it and the law;
(c) fulfil orders within the timeframe stated. If you cannot fulfil an order, including because the stock ran out, refund it in full, promptly, whatever your refund policy says;
(d) hold all licences, permits, and consents required for your event, including any venue, food, entertainment, or public-gathering approvals;
(e) not sell goods which infringe third-party intellectual property. You acknowledge that fan-made merchandise may infringe the rights of artists, agencies, and rights-holders, and that responsibility for that risk is yours alone;
(f) comply with the Personal Data (Privacy) Ordinance in respect of your members' personal data, for which you are a data user in your own right;
(g) respond to buyer enquiries and complaints within a reasonable time.
7.5 Member data. Where you access personal data of your members through the Platform, you are an independent data user under the PDPO. You must use it only for operating your Club and its events, must not sell or transfer it, and must not use it for direct marketing without the consent required by Part 6A of the PDPO. You must not export or retain member data after your account closes except as required by law.
7.6 Indemnity. You indemnify Fanlendar against all claims, losses, liabilities, and reasonable costs arising from: your goods, services, or events; your breach of these Terms; your infringement of third-party rights; and your handling of personal data.
7.7 Suspension. We may suspend your Club, and withhold or cancel listings, where we reasonably believe you have breached these Terms, are engaged in fraudulent or deceptive conduct, or present an unacceptable risk to Members or Buyers. Where practicable we will notify you first and give you an opportunity to respond.
7.8 Termination. Either party may terminate on notice. On termination you remain responsible for fulfilling all outstanding orders. We may keep your listings visible, marked as closed, for a reasonable period so that buyers can access their order records.
8. Disputes between Buyers and Organisers
8.1 A dispute about an order is between the Buyer and the Organiser.
8.2 If a Buyer cannot resolve a dispute directly, they may report it to [email protected]. We will:
(a) provide the Buyer with the order record we hold;
(b) contact the Organiser and ask them to respond;
(c) where we find a pattern of unresolved complaints, take action under Sections 5 and 7.7, including suspension and removal of the Organiser's verification status.
8.3 What we do not do. We do not adjudicate disputes, hold funds in escrow, guarantee outcomes, or refund Buyers from our own resources. We cannot compel an Organiser to refund, but an Organiser who fails to refund as Section 6.5 requires is in breach of these Terms, and we may act under Section 7.7.
8.4 Buyers retain all rights against the Organiser and against their card issuer, including the right to raise a chargeback. Buyers may also complain to the Consumer Council or, where a criminal offence is suspected, to the Hong Kong Police Force.
9. Intellectual property
9.1 The Platform, its software, design, and branding are owned by Fanlendar and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform in accordance with these Terms.
9.2 Your content. You retain ownership of content you upload. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for formatting, and display that content solely for the purpose of operating and promoting the Platform. This licence ends when you delete the content, save for reasonable backup retention and for copies already shared by others.
9.3 You warrant that you have the rights necessary to grant the licence in 9.2 and that your content does not infringe third-party rights.
9.4 Infringement notices may be sent using the "Report this listing" link on the listing, or by email to [email protected]. We review them within 2 Hong Kong business days, and may terminate the accounts of repeat infringers.
10. Availability and changes
10.1 We provide the Platform on an "as is" and "as available" basis. We do not warrant uninterrupted or error-free operation.
10.2 We may modify, suspend, or discontinue any part of the Platform. Where a change materially and adversely affects Organisers, we will give 30 days' notice where reasonably practicable.
10.3 We may amend these Terms. Material amendments take effect 30 days after we notify you by email or by prominent notice on the Platform. Continued use after that date constitutes acceptance. Amendments do not apply retrospectively to completed transactions.
11. Liability
11.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be excluded.
11.2 Subject to 11.1, we exclude all implied warranties to the fullest extent permitted by law.
11.3 Subject to 11.1, we are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of goodwill, or loss of data.
11.4 Subject to 11.1, our total aggregate liability arising out of or in connection with these Terms in any 12-month period is limited to the greater of:
(a) the total fees you paid to Fanlendar in that period; and
(b) HK$1,000.
11.5 We are not liable for failure to perform caused by events beyond our reasonable control, including failure of payment processors, hosting providers, or telecommunications networks.
12. Privacy
Our handling of personal data is described in the Privacy Policy.
13. Governing law and disputes
13.1 These Terms are governed by the laws of the Hong Kong Special Administrative Region.
13.2 The courts of Hong Kong have non-exclusive jurisdiction.
13.3 Nothing prevents a consumer from bringing proceedings in the Small Claims Tribunal or from any statutory right to complain to a regulator.
14. General
14.1 Entire agreement. These Terms and any policies referred to constitute the entire agreement between us.
14.2 Severance. If a provision is held invalid, the remainder continues in force.
14.3 No waiver. Failure to enforce a provision is not a waiver of it.
14.4 Assignment. You may not assign your rights without our consent. We may assign on notice, including on a sale of the business.
14.5 Third parties. Save as expressly stated, a person who is not a party has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce any provision. The requirement in Section 6.5 that the Organiser refund in full an order it cannot fulfil is also for the benefit of Buyers, and a Buyer may enforce it against the Organiser under that Ordinance.
14.6 Language. These Terms may be published in English and Chinese. In the event of inconsistency, the English version prevails.
